Bylaws of the Council

(approved April 25, 1992)

ARTICLE I NAME

The name of the organization shall be Council of New England State Medical Societies.

ARTICLE II PURPOSE

The purpose of the Council is to effect close cooperation among the New England state medical societies in maintaining the highest standards of medical practice throughout this geographical area of the United States. Its further purpose is the solution of problems of mutual interest and provision of a forum for discussion with the New England State Delegates to the American Medical Association.

The rules contained in the current edition of Sturgis Standard Code of Parliamentary Procedure, shall govern the deliberations of the Council in all cases to which they are applicable and in which they are not inconsistent with the Bylaws of the Council and the standing rules.

ARTICLE IX FINANCE

ARTICLE X SEAL

The Council may have a common seal, with power to break, change or renew the same.

ARTICLE XI RULES AND REGULATIONS

The Council shall adopt such rules and regulations as may be necessary to implement more specifically the general principles found within these Bylaws. Such rules and regulations shall be part of these Bylaws, except that they may be amended or replaced at any regular meeting at which a quorum is present, and without previous notice, by a three fourths vote of those Council members present, as long as four of six New England states are represented. Such changes shall become effective immediately.

ARTICLE XII UNUSUAL SITUATIONS

Whenever a question arises which is not specifically covered by these Bylaws, it may be resolved by majority vote of the Council in semi-annual session. Emergency matters not covered by these Bylaws arising at other times may be decided by the President in consultation with the officers and one member from each of the composite member state societies and associations.

ARTICLE XII AMENDMENTS

These Bylaws may be amended at any meeting of the Council by a three fourths vote of all the members present at that meeting, provided that written notice of the subject or the proposed amendment has been seen to members of the Council not less than thirty days prior to such a meeting, and provided that four of the six New England States are represented and voting.
